These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and BAP Software Limited ("Company," "we," "us," or "our"), concerning your access to and use of the Chat Tree AI platform and services (the "Service").
By accessing or using our Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.
Chat Tree AI is an artificial intelligence-powered conversational platform that provides users with AI-assisted chat capabilities, content generation, and related services. The Service may include both free and premium subscription-based features.
You must be at least 13 years of age to use our Service. If you are between 13 and 18 years of age, you must have your parent or legal guardian's permission to use the Service. By using the Service, you represent and warrant that you meet the age requirements and have the right, authority, and capacity to enter into these Terms.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree to notify us immediately of any unauthorized access to or use of your account.
Our premium services are offered on a subscription basis. By purchasing a subscription, you agree to pay all charges associated with your subscription according to the pricing and billing terms presented to you at the time of purchase.
Unless you cancel your subscription, it will automatically renew for successive periods of the same duration as the subscription term originally selected. We will charge your payment method for the renewal term.
You may cancel your subscription at any time through your account settings or by contacting us at support@chatree.ai. Cancellation will be effective at the end of your current billing period.
You agree not to use the Service:
You retain ownership of any intellectual property rights that you hold in content that you submit to the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute Your Content for the purpose of providing the Service.
Content generated by our AI systems in response to your inputs is provided to you under a license that allows you to use such content for your intended purposes, subject to these Terms and applicable law.
The Service and its original content, features, and functionality are and will remain the exclusive property of BAP Software Limited and its licensors. The Service is protected by copyright, trademark, and other laws.
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy or completeness of any AI-generated content.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAP SOFTWARE LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless BAP Software Limited and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.
For users located in the European Union, these Terms shall be governed by and construed in accordance with the laws of Ireland, and any disputes shall be resolved in the courts of Ireland.
For users located in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
For users in other jurisdictions, these Terms shall be governed by the laws of Ireland, subject to mandatory local consumer protection laws.
EU consumers may access the European Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr/.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect for existing users.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
These Terms constitute the sole and entire agreement between you and BAP Software Limited regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
